These Terms of Service ("Terms") form a binding agreement between you and Cliny ("Cliny," "we," "us"). By accessing or using cliny.ai, you agree to these Terms. If you are using Cliny on behalf of a clinic or organization, you represent that you have authority to bind that organization.
Cliny provides a cloud-based practice management platform designed for medspas, IV hydration clinics, and similar healthcare practices. Features include appointment scheduling, AI-assisted clinical charting, billing, inventory management, staff management, and AI-powered administrative automation.
We reserve the right to add, modify, or remove features with reasonable notice. Material reductions in core functionality will be communicated at least 30 days in advance.
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@cliny.ai if you suspect unauthorized access.
Each clinic subscription includes access for multiple staff members under role-based permissions (Admin, Provider, Front Desk). You may not share a single user account across multiple individuals.
If your use of Cliny involves Protected Health Information (PHI) as defined under HIPAA, a Business Associate Agreement (BAA) must be in place before you transmit PHI through the Service. To obtain a BAA, contact support@cliny.ai. Clinics that are Covered Entities under HIPAA may not transmit PHI without an executed BAA.
Cliny implements security measures consistent with HIPAA's Security Rule, including encryption at rest and in transit, role-based access control, and audit logging. See our HIPAA Policy for full details.
Cliny offers monthly and annual subscription plans. Current pricing is available at cliny.ai/#pricing. Annual plans are billed upfront at a discounted rate.
New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, access is suspended until a payment method is provided.
Subscriptions renew automatically at the end of each billing period. You may cancel at any time through Settings → Billing or by contacting us. Cancellation takes effect at the end of the current paid period — we do not provide prorated refunds for partial periods unless required by law.
We will provide at least 30 days' notice before increasing subscription prices. Founding cohort subscribers are exempt from price increases for the duration of their continuous subscription.

You retain full ownership of all data you enter into Cliny, including patient records, clinical notes, and business data. Cliny does not claim any intellectual property rights over your data.
Upon request or cancellation, we will provide a complete export of your clinic's data in a standard format (JSON/CSV) within 30 days. After the 90-day post-cancellation retention window, data is permanently deleted from our systems.
Cliny's AI features (including AI Scribe, SOAP note generation, and treatment summaries) are clinical productivity tools — they are not a substitute for professional medical judgment. All AI-generated content must be reviewed and approved by a licensed clinician before being finalized or used in patient care.
Cliny does not practice medicine. Clinical decisions remain the sole responsibility of the licensed providers using the Service. We are not liable for clinical outcomes.
The Cliny platform, including its design, code, AI models, and branding, is our intellectual property and is protected by copyright and other laws. These Terms do not transfer any ownership of the platform to you.
By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service as described in our Privacy Policy.
The Service is provided "as is" and "as available." We do not warrant that the Service will be error-free or uninterrupted. We make no warranties regarding the accuracy of AI-generated clinical content.
To the fullest extent permitted by law, Cliny's liability for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, punitive, or consequential damages.
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration under the American Arbitration Association's Commercial Arbitration Rules. Class action waiver applies — disputes must be brought individually.
We will notify you of material changes at least 14 days before they take effect via email. Continued use after the effective date constitutes acceptance. If you disagree with the changes, you may cancel your subscription before they take effect.
